Electronic share certificates for listed companies were implemented on January 5, 2009. In addition, NTT conducted a stock split and introduced a unit share system on January 4 (100-for-1 stock split: 100 shares is one unit). Shares and fractions of less than one unit (formerly fractional shares) that were not deposited with the Japan Securities Depository Center via a securities company prior to the availability of electronic share certificates will be recorded in special accounts established by NTT.
Further information concerning the transfer of shares from the special accounts to a securities company account and NTT's purchase of less-than-one-unit shares and additional shares can be found below.
* A Notice concerning the Stock Split and the Introduction of the Unit Share System and a Guide to Special Accounts were mailed to shareholders in mid-February.
How can I transfer shares from a special account to a securities company account?
(Shares in special accounts cannot be traded. They must first be transferred to a securities company account in the name of the shareholder, and then they can be traded by the securities company.)
After opening an account with a securities company, submit a request to the Chuo Mitsui Trust and Banking Company, Limited, which is acting as NTT's special account manager. Less-than-one-unit shares may also be transferred to a securities company account. There are no fees for making a transfer.
How can I sell less-than-one-unit shares (formerly fractional shares)?
In conjunction with the stock split and the introduction of the unit shares system, fractional shares became less-than-one-unit shares and were recorded in special accounts opened by NTT.
Less-than-one-unit shares cannot be sold in the market, but shareholders may request that NTT purchase the shares or sell additional shares sufficient to constitute one unit. To request the purchase or sale of less-than-one-unit shares, shareholders must submit a request to Chuo Mitsui Trust and Banking Company, Limited, which is acting as NTT’s special account manager. (If less-than-one-unit shares have already been transferred from a special account to a securities company account, please submit the application to the securities company.)
