NTT Establishes New Software Company
Nippon Telegraph and Telephone Corporation (NTT) announced today it will establish a wholly owned subsidiary, NTT COMMUNICATIONWARE CORPORATION, to engage in software-related business. The company will be established on April 1 and begin services in September.
Details of the new company are as follows:

NTT will transfer operations to the new company after NTT's shareholders approve the plan at their 12th regular meeting, and following completion of all required legal procedures.

1) Relationship with NTT a) NTT will commission the new company to supply it with communications software and systems services smoothly and efficiently to support NTT's telecommunications business. b) NTT will seek new company's assistance in areas such as developing software to achieve greater efficiency in NTT's network operations. c) NTT will conduct business with the new company based on contractual agreements similar to those used for business with other companies, to ensure fair competition. d) NTT will not conduct joint procurements with the new company to prevent it from gaining unfair advantage through NTT's large-scale purchases. 2) R&D NTT will handle research and development results with a view to promoting fair competition in the Japanese telecommunications market, as follows: a) NTT's R&D NTT will retain the disclosure rights to any R&D results which it provides to NTT COMWARE, thereby ensuring that the new company will disclose information which other companies are entitled to receive upon request. If the new company needs to obtain NTT's R&D results, NTT will provide such information for an appropriate fee, as it does for other companies. b) New company's R&D The new company's policies for disclosing its own R&D results will be patterned after those followed by NTT.
