NTT Establishes NTT Communications Corporation

An agreement to transfer business from NTT to NTT Communications was also signed by the two companies today.

Capital:	30 billion yen (to be increased for start of operations)

Purpose:	1) Telecommunications businesses 2) Development, lease, sale, export and import, and maintenance and administration agency businesses, of telecommunications facilities 3) Design, execution, administration and contracting of works of telecommunications facilities 4) Agency businesses of network administration and customers administration, etc. in connection with supply of telecommunications service 5) Construction, maintenance, administration and consulting of telecommunications network systems 6) Development, lease, sale, export and import of communications terminal equipment 7) Development, manufacturing, sale and lease of software related to telecommunications 8) Agency businesses of acceptance of applications, etc. related to each of the foregoing items 9) Agency businesses of billing and receipt of charges related to each of the foregoing items 10) Any business related to each of the foregoing items

Future Plans

The new company will commence operations on July 1, 1999, following approval at the shareholders meetings of NTT and NTT Communications in late June.

As for the director candidates for NTT Communications, which is planning to start operating on July 1, 1999, please refer to the attachment. They will be instated from July 1, 1999, following their approval at NTT Communications´ shareholders and board-of-directors meetings at the end of June.
